SPECIAL MEETING of the Ownership: Proposed Changes to Governing Documents

This communication is notice of a special meeting for SATURDAY, NOVEMBER 14, 2020. A copy of the official notice document & proposed changes can be found by clicking HERE. Please note: this is a CHANGE FROM THE PRIOR date for the special meeting, which was October 24, 2020. There will be NO special meeting on October 24, 2020.
The November 14 meeting relates to the same items as had been proposed for the October 24 meeting. As discussed at the annual meeting in August, a committee has prepared amendments to the governing documents of the Association, to enlarge the Executive Board to 7 members to allow more participation and a more balanced membership.
As indicated in the Notice, the special meeting will occur virtually on Saturday, November 14, 2020 at 11:00 a.m. The purpose of the meeting is to vote on the proposed amendments. If the amendments are approved, there will be an immediate vote on a new board.
As indicated in the summary in the notice, the proposed changes will do the following:
1. There will be two classes of directors on the board: Commercial Directors and Residential Directors.
2. There will be 5 Residential Directors and 2 Commercial Directors.
3. Only owners of residential units will be able to vote for the 5 Residential Directors. There will be no cumulative voting.
4. Only owners of commercial units will be able to vote for the 2 Commercial Directors. There will be no cumulative voting.
5. After the initial election under the new system, residential Directors will serve 3 year terms, to be staggered so that no more than 2 are elected at any one year.
6. Commercial Directors will serve one year terms.
Please take note, approval of the amendments requires the approval of 67% of all votes allocated to the Units (commercial and residential) in the Association. Votes may only be cast in person by proxy.
IN ORDER TO APPROVE THE AMENDMENTS, IT IS IMPERATIVE THAT ALL OWNERS SUBMIT A PROXY FOR THE VOTE ON THE AMENDMENTS OR PARTICIPATE IN PERSON AT THE VIRTUAL MEETING.
Two proxies will be sent out following the delivery of this notice. On proxy will address the approval of the proposed amendments the other will address the election and vote for members of the enlarged Executive Board.
This notice is also a call for nominations to new, enlarged, Executive Board. Current Board members are: Voras Haynes (residential), Stephanie Dilley (commercial) and Geoff Truslow (commercial). There is a need for five residential directors and two commercial directors. Both the residential and commercial directors will be elected at the special meeting.
Nominations are not required, but to be included on the proxy forms, nominations must be received by Wednesday, October 28, 2020.
